Background

Our client, a coach operator, was in the process of selling multiple businesses that operated from properties owned by their holding company and pension scheme. Many of these properties lacked formal leases, while others had expired agreements, creating uncertainty for both the business buyer and the landlord. With the business sale dependent on securing formal lease agreements, we were engaged to negotiate, draft, and complete new leases within a tight timeframe.

Approach

We worked closely with the client’s business sale solicitor, the buyer’s solicitor, and the pension scheme to align all leases onto similar terms for easier estate management. During this process, we discovered that a portion of land was incorrectly registered to one of the trading companies being sold. We facilitated its transfer to the property holding company, ensuring the deal remained on track. Given the client’s absence overseas and the urgency of the transaction, we managed international time zones while prioritising efficiency and accuracy.

All leases and related transfers were completed on time, allowing the business sale to proceed. The client successfully finalised the transaction as part of their retirement plan, securing the future of their businesses while protecting their property interests.
